By accessing or using LemmaIoT services, you agree to be bound by these Terms and Conditions. Please read them carefully before engaging our services.
Quick Summary: These terms protect both LemmaIoT and our clients by clearly defining responsibilities, payment terms, intellectual property rights, and service limitations. If you don't agree with any part, please don't use our services.
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "You," or "Your") and LemmaIoT ("Company," "We," "Us," or "Our") regarding your use of our digital services.
Note: These Terms may be updated periodically. Continued use of our services after changes constitutes acceptance of the revised Terms.
For clarity, the following terms have specific meanings in this agreement:
All digital services provided by LemmaIoT including but not limited to business registration, branding, web development, AI automation, payment integration, digital marketing, and cloud solutions.
Specific outputs, products, or results promised as part of our services, as outlined in project agreements or service descriptions.
The defined boundaries, requirements, and specifications of work to be performed for a specific client engagement.
Any proprietary, sensitive, or non-public information shared between parties during the course of service delivery.
External services, platforms, or tools integrated into our solutions (e.g., hosting providers, payment gateways, domain registrars).
Unforeseeable circumstances beyond our control that prevent fulfillment of contractual obligations (natural disasters, government actions, etc.).
LemmaIoT provides comprehensive digital services to help Nigerian businesses establish and grow their online presence. Our services are delivered with professional standards and industry best practices.
Successful project delivery requires active collaboration. Clients are expected to fulfill the following obligations:
Failure to fulfill client obligations may result in project delays, additional costs, or service suspension. LemmaIoT is not responsible for delays caused by client non-compliance.
A 50% deposit is required before work commences. This deposit secures your project slot and covers initial development costs.
Final payment (50%) is due upon project completion and before final deliverable handover.
Costs for third-party services (hosting, domains, licenses) are additional and billed separately.
Upon full payment, clients own the following deliverables:

Some deliverables may include third-party assets (stock photos, fonts, plugins) subject to their own licensing terms. Clients are responsible for ongoing license compliance.
LemmaIoT reserves the right to showcase completed work in our portfolio and marketing materials, unless specifically restricted by written agreement.
Intellectual property ownership transfers only upon full payment. Partial payments do not confer ownership rights.
Duration: Technical warranties are limited to 30 days from delivery. This covers defects in workmanship but not changes in requirements or third-party service issues.
Scope: Warranties cover only the specific deliverables outlined in the project agreement. Additional features, modifications, or enhancements are not covered under original warranties.
Remedy: Our sole obligation under warranty is to repair or replace defective deliverables. We are not liable for consequential damages or business losses.
To the maximum extent permitted by Nigerian law, LemmaIoT's liability is limited as follows:
Our total liability for any claim shall not exceed the total amount paid by the client for the specific service giving rise to the claim, or ₦500,000, whichever is less.

These Terms and Conditions are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of Nigerian courts.
All legal proceedings shall be conducted in Lagos State, Nigeria, unless otherwise agreed in writing by both parties.
Parties agree to first attempt resolution through direct communication and good faith negotiation for 30 days.
If direct communication fails, disputes shall be submitted to mediation through a mutually agreed mediator or mediation service.
If mediation fails, disputes may proceed to binding arbitration or litigation in accordance with Nigerian law.
If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
These Terms constitute the entire agreement between parties and supersede all prior negotiations, representations, or agreements.
These Terms may only be modified in writing, signed by both parties, or through updated terms posted on our website.
Clients may not assign their rights under these Terms without written consent. LemmaIoT may assign with reasonable notice.
